These Terms & Conditions are a generic template for informational purposes and are not legal advice. Have a qualified attorney review and tailor them before relying on them for real programs or clients.
1. Acceptance of terms
By creating an account, accessing, or using Traklify ("Service"), you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of service
Traklify is a software tool that helps organizations manage program staff, locations, clients/participants, checklists, and related reports. We may update, improve, or discontinue features from time to time.
3. Eligibility and accounts
You must be able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, including actions taken by staff you invite. You agree to provide accurate account information and to notify us promptly of any unauthorized use.
4. Organizational use
If you use Traklify on behalf of an organization, you represent that you have authority to bind that organization to these terms, and "you" includes that organization. Admins are responsible for managing staff access and role assignments within their account.
5. Client and participant data
You are solely responsible for ensuring you have the appropriate legal basis, consent, and authorization to enter any client or participant information (including demographic and program-related data) into Traklify, and for complying with all laws and regulations that apply to your program, including privacy, confidentiality, and record-keeping requirements. You retain ownership of the data you submit; you grant us a limited license to host, process, and display that data solely to provide the Service.
6. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, uploading malicious code, using it for unlawful purposes, or reverse engineering the Service except where permitted by law. You may not use the Service to store or process data you are not authorized to handle.
7. Subscription plans
Free plan accounts are subject to usage limits (currently one location and two clients). Premium access may be granted or revoked at our discretion. Features, pricing, and limits may change over time. We will provide reasonable notice of material changes when practicable.
8. Intellectual property
Traklify, including its software, branding, and documentation, remains our property or that of our licensors. These terms do not grant you any right to use our trademarks except as needed to refer to the Service in a factual manner.
9. Third-party services
The Service relies on third-party infrastructure providers (for example, hosting, authentication, and email delivery). Your use of the Service may be subject to those providers' terms where applicable. We are not responsible for third-party services outside our reasonable control.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these terms, suspected abuse, legal requirements, or any other reason, with or without notice. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, and limitations of liability) will survive.
11. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that data will never be lost.
12. Limitation of liability
To the fullest extent permitted by law, we and our suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim or (b) one hundred U.S. dollars ($100).
13. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your client/participant data, or your violation of these terms or applicable law.
14. Changes
We may update these terms from time to time. We will revise the "Last updated" date above when we do. Continued use of Traklify after changes take effect constitutes acceptance of the updated terms. If you do not agree, stop using the Service.
15. Governing law
These terms are governed by the laws of the United States and the state in which the Service operator is principally located, without regard to conflict-of-law principles, except where mandatory local law provides otherwise. Courts in that jurisdiction will have exclusive venue for disputes, subject to applicable consumer-protection rules.
